CineSurge Filmmaker Distribution Agreement
Non-exclusive • Worldwide • Revocable1. Grant of Rights
Filmmaker grants CineSurge a non-exclusive, worldwide, revocable license to distribute the submitted film (“the Work”) on its platform. CineSurge may stream, display, and promote the Work for the purpose of public viewing through CineSurge’s digital properties.
2. Ownership
Filmmaker retains full ownership of the Work. CineSurge does not claim copyright or creative control over the Work.
3. Submission Requirements
To be eligible for streaming, Filmmaker agrees to submit:
- Final version of the film in .MP4 or .MOV format
- Trailer (optional but encouraged)
- Film poster (minimum 1080x1600 px, JPG or PNG)
- Logline and synopsis
- Closed captions (English required; Spanish optional)
- Signed agreement (this document)
4. Revenue Structure
The revenue model is as follows:
- CineSurge retains 100% of subscription revenue to support platform operations, marketing, and infrastructure.
- Filmmakers retain 100% of revenue earned from:
- Rentals
- Tips
- Direct transactions tied to their film
- Merchandise or affiliate links connected to their film page (where applicable)
- Note: Any third-party payment processing fees (e.g., Stripe, PayPal) will be deducted before payouts are issued. CineSurge does not take a percentage of filmmaker earnings.
- Payouts are issued quarterly, with a report sent to the filmmaker's email. A valid PayPal or direct deposit account is required.
5. Term & Termination
This agreement is effective upon signature and remains in effect until terminated by either party with 30 days’ written notice. The Filmmaker may request the removal of their film from CineSurge at any time. CineSurge will remove the film within 30 days of receiving the request.
6. Warranties & Representations
Filmmaker represents and warrants that:
- They are the sole owner or authorized licensee of the Work and have the full right to enter this agreement.
- The Work does not infringe on any third-party rights, including copyright, trademark, or privacy rights.
- The Work contains no unlawful, defamatory, or obscene content.
- If the Work includes AI-generated elements, they are original, ethically sourced, and do not plagiarize or impersonate real individuals without consent.
- Filmmaker agrees to disclose the use of AI tools in the creation of the Work if requested by CineSurge for platform transparency.
- Filmmaker agrees to indemnify and hold harmless CineSurge, LLC from any claims or liabilities arising from a breach of these warranties.
7. Marketing & Promotion
Unless the Filmmaker opts out in writing, CineSurge may use short clips, stills, and promotional language from the Work for:
- Social media marketing
- Email newsletters
- Platform banners and thumbnails
- Highlight reels or trailers that promote CineSurge’s catalog
All usage will be in service of increasing visibility and engagement for the Work and the platform.
8. Platform Discretion
CineSurge reserves the right to:
- Refuse content that violates its platform standards
- Reposition, re-categorize, or promote content at its discretion
- Remove content for legal, ethical, or quality assurance reasons (with notice)
9. Entire Agreement
This document constitutes the full understanding between CineSurge and the Filmmaker. Any modifications must be agreed to in writing by both parties.
